1. Company Information

Armature Yard "Boyana" is operated by EmCommerce 55 Ltd., registered in the Commercial Register of the Registry Agency, with registered office at 67 Okolovrasten Pat Blvd., 1616 Sofia, Bulgaria. Contact email: office@armaturaboyana.bg.

These Terms and Conditions govern the relationship between EmCommerce 55 Ltd. (hereinafter "the Company") and clients using the services of Armature Yard "Boyana" — rebar fabrication, supply of reinforcement steel, gabions, fencing mesh, transport and related services.

2. Scope of Services

The Company offers the following main services:

• fabrication of rebar elements to drawing, project or specification
• supply of reinforcement steel, welded mesh, gabions and fencing mesh
• rebar placement and formwork installation by construction crews
• welding services
• transport to the construction site

3. Order Acceptance and Confirmation

3.1. Orders may be placed verbally, in writing (email, contact form) or via the Company's online platform.

3.2. An order is deemed confirmed upon explicit written confirmation by the Company or upon payment of an advance deposit.

3.3. The Company reserves the right to decline any order it is unable to fulfil within its production capacity, or where technical documentation is incomplete or incorrect.

3.4. The client bears full responsibility for the accuracy of drawings, specifications and dimensions provided. The Company fabricates elements in accordance with the supplied documentation without verifying the structural design.

4. Prices and Payment

4.1. Current service prices are published on the website. The Company reserves the right to update prices without prior notice, except on already confirmed orders.

4.2. All website prices are quoted in euros (€). Invoicing is in Bulgarian lev (BGN) at the fixed rate of 1 EUR = 1.95583 BGN.

4.3. All prices are subject to 20% VAT unless otherwise stated.

4.4. A receipt and/or VAT invoice is issued for every transaction.

4.5. Payment may be made in cash, by bank transfer, or via approved electronic payment methods. Deferred payment terms are available for regular clients under pre-agreed conditions.

5. Delivery Timescales

5.1. Lead times are agreed individually for each order depending on volume, complexity and current production load.

5.2. The Company makes every effort to meet agreed deadlines. In the event of force majeure, raw material supply delays or equipment failure, the Company notifies the client promptly.

5.3. A delay in delivery attributable to the Company does not entitle the client to claim penalties unless such penalties are explicitly agreed in writing.

6. Delivery and Transport

6.1. Delivery is made using the Company's own vehicles or a contracted carrier.

6.2. Transport costs are determined in accordance with the current price list published on the website and may be free of charge for orders exceeding a specified quantity within the Sofia area.

6.3. Risk of accidental loss or damage to the goods passes to the client at the moment of handover to the client or their authorised representative.

6.4. The client is responsible for ensuring site access and suitable conditions for unloading.

7. Claims and Complaints

7.1. The client must inspect the goods on receipt and report any visible defects immediately.

7.2. Latent defects must be reported within 7 (seven) days of discovery, but no later than 30 (thirty) days from delivery.

7.3. Complaints must be submitted in writing to office@armaturaboyana.bg with a description of the defect and photographic evidence.

7.4. Where a complaint is upheld, the Company will repair, replace or credit the defective goods at its discretion.

8. Limitation of Liability

8.1. The Company is not liable for indirect damages, loss of profit or losses arising from the use or inability to use the supplied goods.

8.2. The Company's liability is limited to the value of the specific order in relation to which the claim is made.

8.3. The Company is not liable for structural design decisions contained in project documentation provided by the client.

9. Intellectual Property

All content on the website — texts, images, graphics, logos and design — is the property of EmCommerce 55 Ltd. or is used with permission. Copying or distributing without explicit written consent is prohibited.

10. Governing Law and Dispute Resolution

10.1. These Terms and Conditions are governed by applicable Bulgarian law.

10.2. In the event of a dispute, the parties will seek an out-of-court resolution. If that is not possible, disputes will be referred to the competent court in Sofia.

10.3. Consumers have the right to submit complaints to the Commission for Consumer Protection or via the EU online dispute resolution platform.

11. Amendments

The Company reserves the right to update these Terms and Conditions at any time. The current version is published on the website with the date of the most recent revision. Continued use of the services after the publication of changes constitutes acceptance of those changes.
